Terms of Service

These Terms of Service ("Terms") govern your use of the ReturnFlow HQ AI-powered SMS marketing platform ("Service") operated by ReturnFlow HQ ("we", "us", "our"). By signing up or using the Service, you agree to these Terms.

1. Service Description

ReturnFlow HQ provides an automated, AI-powered SMS marketing platform for local businesses. The Service includes:

• AI-generated personalized text messages to your customers
• Integration with Square POS for customer and order data
• A dedicated local phone number for your business via Twilio
• A franchise owner portal for account management
• Monthly performance reporting and billing transparency

2. Account Registration

To use the Service, you must create an account by providing accurate business and contact information. You are responsible for maintaining the confidentiality of your login credentials. You must be at least 18 years old and authorized to operate the business you register.

3. Pricing & Billing

• Monthly Fee: $349/month, billed monthly via Stripe.
• SMS Costs: Twilio SMS delivery charges are passed through at cost plus a small processing markup. Typical SMS costs $0.0079/segment.
• AI Processing: AI token usage is passed through at cost plus a small processing markup.
• No Setup Fee: Onboarding, AI configuration, and phone number provisioning are included.
• Billing Cycle: Your subscription begins on the date you complete signup. You will be billed on the same date each month.

4. Square POS Authorization

The Service requires a one-time Square OAuth authorization to access your customer list and order history. We access only the data necessary to personalize messages: customer names, phone numbers, order dates, items purchased, and transaction amounts. We do not access your financial accounts, bank information, or employee data.

5. SMS Compliance

All messages sent through the Service comply with the Telephone Consumer Protection Act (TCPA) and applicable SMS regulations:

• Every message includes an opt-out mechanism (STOP to unsubscribe)
• Messages are sent only during permissible hours (10 AM — 7 PM local time)
• Cooldown periods are enforced between messages to the same recipient
• Daily sending caps prevent over-messaging
• Content is filtered for compliance before delivery

6. Your Responsibilities

• You must have a legitimate business relationship with the customers receiving messages
• You must not use the Service to send spam, fraudulent, or deceptive messages
• You are responsible for ensuring your customer data is accurate and that customers have consented to receive marketing messages
• You must promptly notify us of any unauthorized access to your account

8. Service Availability

We strive for high availability but do not guarantee uninterrupted service. Scheduled maintenance will be communicated in advance when possible. We are not liable for delays or failures caused by third-party services (Twilio, Square, AI providers).

9. Cancellation

• You may cancel your subscription at any time from your portal or by contacting us
• Cancellation takes effect at the end of your current billing period
• No refunds are provided for partial months
• Upon cancellation, your phone number and messaging will be deactivated
• We retain your data for 30 days after cancellation, then permanently delete it

10. Limitation of Liability

To the maximum extent permitted by law, ReturnFlow HQ shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of revenue, loss of profits, or loss of business, arising from your use of the Service. Our total liability shall not exceed the fees paid by you in the three (3) months preceding the claim.

11. Modifications

We may update these Terms from time to time. Material changes will be communicated via email at least 30 days before taking effect. Continued use of the Service after changes constitutes acceptance.

12. Governing Law

These Terms are governed by the laws of the State of Arkansas. Any disputes shall be resolved in the courts of Pulaski County, Arkansas.
